TERMS & CONDITIONS (CAPITALSCOUT)

These Terms & Conditions ("Terms") govern access to and use of CapitalScout (the "Service"), available at capitalscout.ai (and any related subdomains), operated by Metup S.r.l. ("Metup", "we", "us").

1) Company information

Metup S.r.l. is the provider of the Service and the data controller for the purposes of applicable data protection laws.

2) Acceptance of these Terms

By creating an account, accessing, or using the Service, you ("User", "you") agree to these Terms and any policies referenced herein, including our Privacy Policy. If you do not agree, do not use the Service.

Definitions (for clarity):

  • "Company Profile": the organization/entity profile within the Service that Users may be associated with (e.g., a startup/company/fundraising team) to manage fundraising activities and related workspaces.
  • "User Content": any information, data, files, text, notes, documents, or other materials submitted, uploaded, imported, or otherwise made available by you through the Service (including information about companies, projects, fundraising rounds, funds, people, interactions, and communications).
  • "AI-assisted features": features using automated or AI-assisted processes to generate suggestions, matches, classifications, enrichment, research, summaries, or draft text.

3) Eligibility, business use (B2B-only), and account security

3.1 Business/professional use only — not a consumer

The Service is intended exclusively for business users and professionals. You represent and warrant that you are using the Service for professional purposes and not as a consumer.

3.2 Eligibility and authority

You confirm that:

  • you are at least 18 years old (or the age of majority in your jurisdiction); and
  • you have authority to accept these Terms (including, where applicable, on behalf of a company or other organization).

If you access or use the Service on behalf of a Company Profile or any organization, you represent and warrant that you have the authority to bind that organization to these Terms and to manage the relevant Company Profile (including submitting and managing User Content related to that organization).

3.3 Account security

You are responsible for safeguarding your login credentials and for all activity under your account. You must promptly notify us of any unauthorized use or security breach.

4) The Service and permitted use

CapitalScout is a SaaS platform designed to help founders and fundraising teams manage investor relationships and fundraising campaigns. The Service may include features such as investor/fund discovery, AI-assisted matching, CRM notes/logging, reminders, analytics/dashboard, and content drafting tools.

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

  • access, probe, or test the security of the Service or bypass any access controls;
  • scrape, crawl, harvest, or extract data at scale (except as explicitly permitted by us in writing);
  • reverse engineer, decompile, or attempt to derive source code (to the extent allowed by law);
  • upload or transmit malware or harmful code;
  • use the Service to send spam or unlawful communications, or violate applicable marketing/data protection laws;
  • infringe intellectual property rights, privacy rights, or other rights of third parties.

We may implement reasonable usage limits (rate limits, fair use, quotas) to protect the Service.

5) AI-assisted features (important)

Some features may use automated or AI-assisted processes to generate suggestions, matches, classifications, enrichment, research, summaries, or draft text (e.g., outreach emails, investor/fund matching scores, fund research & enrichment such as news/portfolio analysis/contact discovery).

You acknowledge and agree that:

  • AI outputs may be inaccurate, incomplete, misleading, or outdated;
  • you are solely responsible for reviewing, verifying, and validating AI outputs (including any financial, business, investor, portfolio, or contact-related information) before using them;
  • you are solely responsible for any decisions or actions taken based on AI outputs (including outreach, prioritization, fundraising strategy, or business decisions);
  • we do not guarantee any specific outcome (e.g., fundraising success, investment, response rates, accuracy of matches, or completeness of enriched data).

AI-assisted features are provided for productivity support and do not constitute financial, legal, or investment advice.

6) User content and responsibility for data you upload

You may provide or upload User Content, including information about companies, projects, fundraising rounds, funds, people, or communications.

You represent and warrant that:

  • you have the necessary rights and permissions to provide the User Content; and
  • where User Content includes personal data, you have a lawful basis to process and share it with us, and you comply with applicable data protection laws (including providing any required notices to data subjects).

You remain responsible for the legality, accuracy, and appropriateness of User Content.

6.1 Company Profile content and internal ownership/authority (clarification)

Users may act within a Company Profile workspace. You acknowledge that User Content submitted within a Company Profile may be submitted on behalf of, and used for, that organization's fundraising activities.

As between you and your organization, questions of internal ownership/authority over Company Profile data are governed by your organization's internal arrangements. You agree not to use the Service to access or manage a Company Profile without authorization.

7) Data protection, Privacy Policy, and cookies

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms by reference. If there is a conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy prevails.

Privacy Policy (this URL must match exactly the "Privacy Policy" URL configured on the Google Cloud OAuth Consent Screen, if Google OAuth is enabled):

Cookie information: if and to the extent we use cookies or similar technologies, information about them (including any cookie list/schedule) is provided in the Privacy Policy.

8) Google OAuth and Google user data (if enabled)

If you connect a Google account, you authorize access to Google data strictly as described on the Google consent screen and in our Privacy Policy (available at https://capitalscout.ai/privacypolicy).

We confirm that the use of information received from Google APIs will comply with the Google API Services User Data Policy, including the Limited Use requirements. We do not use Google user data for:

  • targeted advertising,
  • sale to data brokers, or
  • creditworthiness / lending decisions.

9) Intellectual property

The Service, including its software, interface, branding, and all related intellectual property rights, is owned by or licensed to Metup. Except for the limited right to use the Service under these Terms, no rights are granted to you.

You grant Metup a limited, worldwide, non-exclusive license to host, use, reproduce, and display your User Content solely as necessary to operate, maintain, and improve the Service and to provide it to you.

10) Third-party services and links

The Service may integrate with or rely on third-party services (e.g., authentication providers, hosting, analytics). Third-party services are subject to their own terms and policies. We are not responsible for third-party services outside our control.

11) Fees, plans, billing, and beta features (if applicable)

The Service may be offered under free, trial, beta, or paid plans. If fees apply, we will present pricing and billing terms before you are charged.

Beta or experimental features may be modified, limited, or discontinued and may not be available at all times. We do not provide any service-level guarantee (SLA) unless expressly agreed in writing.

IMPORTANT (Beta/Data Loss): Beta or experimental features may contain defects and may result in errors, downtime, or accidental loss, deletion, corruption, or unavailability of data. To the maximum extent permitted by law, Metup is not liable for data loss arising from use of beta/experimental features. You are responsible for maintaining backups/exports of your critical information where appropriate.

Unless mandatory law provides otherwise:

  • fees are non-refundable for periods already started; and
  • taxes may be added where applicable.

12) Suspension and termination

You may stop using the Service at any time and may request account closure where the Service provides that option.

We may suspend or terminate your access (in whole or part) if:

  • you breach these Terms;
  • your use poses a security, legal, or operational risk;
  • there is extended inactivity on a free or Beta account (e.g., no login for 6 months), after providing notice; or
  • we are required to do so by law or authority.

Where reasonable, we will attempt to provide notice and an opportunity to cure, but we may act immediately for security or legal reasons.

13) Availability; changes to the Service

We may update, modify, or discontinue features of the Service. We do not guarantee uninterrupted availability. Scheduled maintenance or unexpected outages may occur.

14) Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15) Limitation of liability

To the maximum extent permitted by law:

  • Metup will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities.
  • Metup's total aggregate liability arising out of or related to the Service will not exceed the amount paid by you to Metup for the Service in the 12 months preceding the event giving rise to the claim (or €100 if you have not paid anything).

Some jurisdictions do not allow certain limitations; in that case, limitations apply to the maximum extent permitted.

16) Indemnity

You agree to indemnify and hold harmless Metup from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of:

  • your User Content,
  • your misuse of the Service, or
  • your violation of these Terms or applicable law.

17) Governing law and jurisdiction

These Terms are governed by the laws of Italy.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Rome, Italy, unless mandatory law provides otherwise.

18) Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., via the Service or email). Continued use of the Service after the effective date of updated Terms constitutes acceptance.
